California Corporate Annual Minutes

Corporate Annual Minutes are LEGALLY REQUIRED in California for all corporations (C-Corp, S-Corp), and strongly recommended for LLCs with multiple members. Who needs Corporate Minutes?

All corporations (C-Corp, S-Corp) MUST have annual Corporate Minutes by California legal requirement (Corporations Code §1500). LLCs with multiple members are not required to but should maintain them anyway. Minutes document: annual shareholder/member meetings, important decisions (loans, large contracts, profit distributions), changes in directors or officers, authorizations of significant expenses. Without Minutes, in litigation, a plaintiff can argue "alter ego" and attack your personal assets.

What is included in the package?

Why they are mandatory in California

Corporations Code §1500 requires every California corporation to: (1) hold an annual shareholders meeting, (2) hold director meetings per the Bylaws, and (3) maintain a Minute Book with records of ALL corporate decisions. The Franchise Tax Board and Secretary of State can request to see these records. MOST IMPORTANTLY: if a court determines you do not maintain corporate formalities, it can declare "alter ego" — meaning limited liability protection DISAPPEARS and your personal assets are exposed.

How to draft valid Annual Corporate Minutes

  1. 1. Call the meeting in advanceTypical bylaws require 10-30 days notice. Document the call in writing (email is valid if authorized in bylaws). Include date, time, place, and agenda.
  2. 2. Verify the quorumFor Corp typically quorum = majority of directors present. For LLC = majority of members or the % established in Operating Agreement. Without quorum, decisions are invalid.
  3. 3. Document who attendedFull list of directors/officers present, absent (with/without excuse), and guests (auditor, attorney, etc.). Legal presence defines whether you can vote.
  4. 4. Record each resolution votedOne resolution = one formal board decision. Format: "RESOLVED, that the Corporation hereby [action]". Document who proposed, who seconded, and vote count.
  5. 5. Approve the typical annual itemsRe-election/election of officers, ratification of prior year acts, approval of financial statements, ratification of material contracts, dividend declaration (if applicable).
  6. 6. Sign and archiveSignature of Secretary and Chairman. Archive in the corporate "minute book" (physical or digital). Keep 7 years minimum (IRS audit). Investors and buyers always ask for it in due diligence.

How often should I make Minutes?

MINIMUM one annual shareholder/member meeting (with Minutes). Plus any important decision (loan, large equipment purchase, executive hire) should be documented in special meeting minutes.

If I am the sole owner do I need Minutes?

Yes. Even in a single-shareholder corporation, you must maintain annual Minutes and document important decisions. Without them, you lose corporate protection.

Can I do "Unanimous Written Consent" instead of meeting?

Yes. California allows that instead of a meeting, all shareholders/directors sign a "Unanimous Written Consent" documenting the decisions. Our package includes this template.
