Who needs a Banking Resolution?

Any corporation (C-Corp, S-Corp), LLC, or business entity that needs to open a bank account in California. Most banks require this document BEFORE opening the account. If you form a new LLC or corporation, you need this document for Chase, Bank of America, Wells Fargo, US Bank, Citi, and all commercial banks. It is also used to authorize additional signers after opening (add a partner, change managers), or to authorize commercial loans.

What is included?

California banks generally require: (1) Articles of Organization/Incorporation with state seal, (2) IRS EIN, (3) Banking Resolution signed by all members/directors, and (4) ID for each authorized person. Some banks have their OWN additional form — but your internal Banking Resolution is still needed as proof of the corporate decision. Frequently Asked Questions

Does this replace the bank's form?

No. The Banking Resolution is your internal corporate document. The bank will also have you fill out their own "Corporate Resolution Account Authorization" form. Bring BOTH.

Who signs it?

In an LLC: all members (or the Manager if named in the Operating Agreement). In a Corp: directors at a board meeting documented in minutes. We also recommend the Corporate Secretary certify the copy.

Can I authorize multiple signers?

Yes. You can list multiple authorized persons and specify whether they can act individually or whether large transactions require two signatures. We recommend requiring two signatures for checks over $5,000.

Do I need to make a new one if I change signers?

Yes. Any change in authorized persons requires a new Resolution. We also recommend making one annually with your corporate annual minutes.
