When to use a Demand Letter?

  3. 3. Cite the legal basis of your claimBreach of contract, fraud, negligence, unjust enrichment, statutory violation. You don't need to master jurisprudence — just identify the theory. Example: "You materially breached our agreement of [date] by failing to deliver the goods."
  4. 4. Quantify exact damagesDollar amount: principal + interest + consequential damages + legal fees (if contract allows). Attach calculation. Without specific amount, your letter is opinion, not demand.
  5. 5. State the demand and deadlineSpecific action requested (pay X, deliver Y, cease Z) + reasonable deadline (10-30 days). Too short a deadline can be seen as bad faith.
